I have seen this issue very commonly in below suituation

1. Incomplete office installation.
2. Multiple version of office installed. E.g office 2003 and some components of office 2007 such as communicator, word, InfoPath etc

To Edit in Datasheet View Office 2003 Pro or later must be installed. The ActiveX control used for this operation is installed only during an Office 2003 Pro or later installation. If you do have Office 2003 Pro installed please verify that your browser does not block the use of ActiveX controls.

If you have office 2003 pro installed, then please try below steps.

1. Repair the office 2003 installation from Add/Remove program.
2. If the above doesn’t resolve, then please install office 2003 and select to install all the Windows SharePoint components
3. And if above two doesn’t resolve the issue, then uninstall office 2003 and other office 2007 components and then reinstall the office 2003 with all the Windows SharePoint Service components.

You can also try following steps

1. Click Start, and then click Run.
2. In the Open box, type cmd, and then click OK.
3. By default, the Owssupp.dll file is located in one the following folders, as appropriate for your version of Office:

o If Office 2003 is installed on the computer: Drive:\Program Files\Microsoft Office\Office11
o If the 2007 Office suite is installed on the computer: Drive:\Program Files\Microsoft Office\Office12
4.Type the following line, and then press ENTER:
regsvr32 -u owssupp.dll
5. Click OK when you receive the message that states that the operation was successful.
6. Type the following line, and then press ENTER:
regsvr32 owssupp.dll
7. Click OK when you receive the message that states that the operation was successful.
8. Type exit to exit Command Prompt.
